ENTROPY FIELD, LLC / LEGAL

Terms of Service

1. Agreement and scope

These Terms of Service govern access to the websites, AI software, intelligent decision systems, quantitative energy analytics SaaS, APIs, SDKs, and related services provided by Entropy Field, LLC ("Entropy Field," "we," "us"). By accepting an order or using subscribed services, you agree to these Terms. You must be at least 18 and authorized to bind the organization you represent. A signed enterprise agreement controls only where it expressly conflicts with these Terms. Submitting an inquiry is not acceptance of an order and creates no charge.

2. Products, provisioning, and service scope

Our product suite includes Entropy GridQuant™ for algorithmic day-ahead and real-time electricity market forecasts and dispatch scenarios; Entropy Nexus™ for multi-agent enterprise workflows and decision automation; and Entropy Telemetry & SDK for quantitative pipelines, APIs, observability, and risk guardrails. Access, available markets, data licensing, integrations, limits, and deliverables are confirmed in your order before activation. Services are delivered electronically through provisioned accounts, API credentials, and documentation. Website telemetry is a synthetic demonstration, not measured service performance.

3. Accounts and API use

Keep account details accurate, safeguard credentials, and promptly report unauthorized access. You are responsible for authorized users, submitted data, integration permissions, and activity under your account. Use credentials only within your purchased scope. Respect documented rate limits and third-party data licenses; do not bypass quotas, interfere with availability, resell access without permission, or upload malicious or unlawful material. We may throttle excessive requests and suspend access when reasonably necessary to address abuse, nonpayment, legal requirements, or a security incident, with notice when practicable.

4. Subscription billing and renewal

Prices are in USD, excluding applicable taxes. Starter is $149 monthly or $1,428 annually ($119 monthly equivalent); Pro is $499 monthly or $4,788 annually ($399 monthly equivalent); Enterprise starts at $1,950 monthly or $18,720 annually ($1,560 monthly equivalent), or a separately agreed custom SLA and price. Annual discounts are approximately 20%, with Starter and Pro rounded down. Annual subscriptions are charged in advance for the full year. Monthly subscriptions are charged in advance each month. Unless your order says otherwise, subscriptions automatically renew for the same billing period until canceled before the renewal date. We disclose your start date, recurring charge, payment method, and limits before payment authorization. Stripe may process payments; no payment is taken by the public inquiry forms.

5. Changes, usage limits, and taxes

No overage fees are imposed without prior disclosure and authorization. When a plan limit is reached, access may be limited until reset or an agreed upgrade. Upgrades and associated credits or prorations are confirmed before taking effect; downgrades normally apply at renewal. We provide at least 30 days’ notice of subscription price changes, which apply at the next renewal, allowing you to cancel first. You are responsible for applicable taxes other than taxes on our income. Failed payments may lead to notice and suspension; contact support to resolve billing issues.

6. Cancellation, refunds, and termination

You may cancel anytime through your subscription dashboard where available, or by emailing [email protected]. Cancellation stops the next renewal and normally leaves access available until the paid period ends. Our 14-day initial subscription satisfaction refund and billing correction rules are detailed in the Refund, Cancellation & Billing Policy, which is incorporated into these Terms. We may terminate for material breach after reasonable notice and an opportunity to cure where appropriate, or immediately for serious abuse or unlawful activity. You may request an available data export before access ends. Retention and deletion follow our Privacy Policy and contractual obligations.

7. Customer data and intellectual property

You retain ownership of your input data and materials. You grant us the limited rights needed to host, process, and transmit them to deliver and secure your service. You warrant you have the necessary rights and lawful basis to provide them. We retain rights in our software, models, documentation, designs, and underlying technology. During your subscription we grant a limited, nonexclusive, nontransferable right to use the service for your internal business purposes. Output use is subject to your order and upstream data or model restrictions; AI output may be nonunique and is not guaranteed to qualify for intellectual property protection. Do not reverse engineer except as permitted by law, or remove proprietary notices.

8. Decision support and acceptable reliance

Forecasts, model outputs, and optimization scenarios are probabilistic decision support. They are not investment, financial, legal, or regulated energy trading advice, and do not guarantee price accuracy, profits, savings, dispatch feasibility, or uninterrupted operations. You must independently validate outputs, applicable market rules, and integration behavior. Live trading, dispatch, or other consequential execution requires your own authorization, controls, and human oversight. Do not rely on the service as the sole control for safety-critical infrastructure or emergency response.

9. Security, confidentiality, and availability

Each party will protect the other’s nonpublic business information using reasonable safeguards and use it only for the relationship, except where disclosure is legally required or authorized. We design for access controls, auditability, and encryption in transit and at rest. SOC 2-aligned architecture is a design approach, not a representation of certification. No system is completely secure. Unless expressly agreed in writing, there is no guaranteed uptime or response-time SLA. Scheduled maintenance, network failures, and third-party outages may affect access. Enterprise service levels and credits require a signed SLA.

10. Third-party services

Your use of third-party integrations may be subject to their separate terms and fees. We do not control third-party systems, source market data, or outputs. You are responsible for obtaining necessary permissions and reviewing integration scopes. Our Privacy Policy describes relevant data handling.

11. Disclaimers and limitation of liability

To the fullest extent permitted by law, services are provided as available and as is, without implied warranties of merchantability, fitness for a particular purpose, or noninfringement. Neither party is liable for indirect, incidental, special, consequential, or punitive damages, or lost profits, trading losses, lost opportunities, or lost data arising from these Terms. Our aggregate liability arising from the services will not exceed fees you paid us for the affected services in the 12 months preceding the event giving rise to the claim. These exclusions do not limit liability for fraud, willful misconduct, or liability that applicable law does not permit to be excluded. Mandatory consumer rights remain unaffected.

12. Governing law and disputes

The laws of the State of Delaware, United States, govern these Terms, without regard to conflict-of-law rules. The parties will first attempt in good faith to resolve disputes by contacting support. Unless mandatory law requires otherwise, courts with jurisdiction in Delaware will have exclusive jurisdiction over unresolved disputes. No provision removes nonwaivable rights or remedies under applicable law.

13. Updates and general provisions

We may update these Terms and will provide notice of material changes through email or the service before they take effect. Changes do not retroactively alter accrued rights. If you disagree with a material change, cancel before it takes effect and contact us regarding any applicable prepaid service rights. If a provision is unenforceable, the rest remains effective. Neither party is responsible for delays caused by events outside reasonable control, except payment obligations. These Terms, applicable policies, and accepted orders form the agreement. Neither party may assign it without consent except in a merger, reorganization, or sale of substantially all relevant assets, subject to applicable law.
